Vendor Agreement
The agreement between OjaLinks and every verified vendor on the platform.
Summary (Plain English)
Vendors agree to maintain service quality, respond promptly, honour the Job Code system and maintain verification credentials. Three bad reviews trigger automatic suspension under the supplied agreement.
1. The Vendor Relationship
Vendors are independent service providers, not employees, agents or partners of OjaLinks, and remain responsible for the quality, safety and delivery of their services.
2. Vendor Eligibility
Applicants must be individuals or registered businesses operating in Lagos or Abuja, provide identity and business documentation where applicable, provide at least three verifiable references, pass verification and maintain required professional registrations.
3. The Verification Process
All vendors complete application submission, document review, reference checks, skills assessment and final approval before listing.
4. Vendor Obligations
Vendors must keep profiles accurate, respond to enquiries within stated availability, deliver agreed services, act professionally, use Job Codes correctly, avoid off-platform circumvention and comply with applicable Nigerian laws.
5. Subscription Fees
The document states Basic Listing at ₦500/month and Premium Listing at ₦1,000/month, with Founding Vendor terms governed by the Founding Vendor Addendum. Subscription fees are generally non-refundable except where applicable law requires otherwise.
6. The Three-Review Rule
Three bad reviews trigger automatic suspension. Vendors may submit a corrective action plan and reinstatement remains at OjaLinks’s discretion; a second suspension results in permanent removal under the supplied agreement.
7. Annual Re-verification
Vendors must complete annual re-verification. Failure to do so can result in suspension until re-verification is completed, with advance notification stated in the agreement.
8. Intellectual Property and Profile Content
Vendors grant OjaLinks a non-exclusive, royalty-free licence to display and use uploaded profile and portfolio content for platform and marketing purposes, subject to the vendor having the rights to use that content.
9. Termination
Either party may terminate on 30 days’ written notice; OjaLinks may terminate immediately in specified serious cases including fraud, material breach and conduct putting users at risk.
10. Limitation of OjaLinks Liability to Vendors
OjaLinks provides the platform on an “as is” basis and does not guarantee enquiries, bookings or revenue. Liability is limited to subscription fees paid in the preceding three months.
11. Governing Law
The agreement is governed by Nigerian law and disputes are handled according to the Dispute Resolution Policy and ultimately the courts of Lagos State.
